The Firm acts for both Indian and Multinational companies in structuring joint ventures for carrying on business in India and overseas including advising on the charter documents of the Companies and drafting of documents such as the Shareholders Agreement and Joint Venture Agreement. This work has been the forte of the Firm for the past 50 odd years. The Firm has partners who are proficient in dealing with technology transfers and software development contracts. The Firm has specialist partners and associates who have vast experience and have been involved in mergers, acquisitions, takeovers and restructurings, both on behalf of multinational corporations and individuals. The Firm has acted and advised them through the entire process starting from the drafting of the Memorandum of Understanding and expression of interest, up to the conclusion of the transaction, including advice on the applicable provisions of the Securities and Exchange Board of India Act, 1992 and the erstwhile Companies Act, 1956 as well as the new Companies Act, 2013.
